VIEW SOME TRANSACTIONS

  • We are presently advising one of the healthy Nigerian commercial banks on its preliminary negotiations with a strategic foreign investor for the acquisition of a majority equity stake in that bank.

  • Advising a leading investment bank based in the Middle East in connection with its proposed acquisition of a majority equity stake in a leading investment bank in Nigeria.

  • Presently, advising the Bureau of Public Enterprises (“BPE,” the Nigerian privatization agency) and BNP Paribas (financial advisers) in connection with the proposed privatization of Nigerian Telecommunications Plc (NITEL) and its mobile subsidiary, M-TEL.

  • We also advised the BPE on a number of other transactions, including the reversed privatization of the Kaduna and Port Harcourt Refineries and Petrochemical companies.

  • Advised Synovate (Holdings) Limited (a subsidiary of Aegis Capital UK Limited) on its acquisition of a leading international marketing outfit and its subsidiaries in 9 African countries, including Nigeria.

  • Advised the multinational Katoen Natie NV Group in connection with its acquisition of the Unicontrol BV Group in 11 countries, including UCC Nigeria Limited.

  • Advised Capital International Private Equity Fund on its multi-million dollar investment, by way of convertible bonds, in Exoro Energy International Limited (Mauritius) and two of its Nigerian subsidiaries.

  • Advised Consolidated Breweries Plc in connection with its acquisition of a 95.05% equity stake in DIL/Maltex Nigeria Plc.

  • Advised Acorn Petroleum Limited on its proposed acquisition of a 60% stake in Chevron Nigeria Oil Plc (previously operated under the “Texaco” brand name).

  • We advised Oppenheimer Group of South Africa in connection with its acquisition of equity interests in Promasidor Nigeria Limited, a leading foods and beverages company in Nigeria.

  • We represented Notore Chemical Industries Limited in its acquisition of the assets of National Fertilizer Company of Nigeria in liquidation (the fertilizer manufacturing concern hitherto owned by the Nigerian Government) and in the restructuring of the company.

  • Advised Transnational Corporation of Nigeria Plc on its acquisition of Nigerian Telecommunications Plc. This transaction was Nigeria’s first privatization conducted on a “willing buyer, willing seller” basis.

  • Advised Heineken International B.V. on its acquisition of a majority shareholding in Consolidated Breweries Plc.

  • Advised Unatrac on its acquisition of 94% equity stake in Tractor and Equipment Nigeria Limited over three transaction phases between 1996 and 2006.
