We acted as Solicitors in Heineken International BV’s acquisition of majority shareholding in Consolidated Breweries Plc (the 3rd largest Nigerian brewery) in separate transactions in December 1999, April 2000 and January 2005.

We advised CFAO (France) on the corporate restructuring of its Nigerian subsidiary, CFAO Nigeria Plc. Upon the successful completion of the restructuring, being effected by way of a Scheme of Arrangement, CFAO France and its nominee(s) became the only shareholders of CFAO Nigeria Plc and the latter, which was a public quoted company emerged as a privately owned entity after delisting its shares. This was the first corporate restructuring transaction of this nature, in Nigeria. We have since this transaction, gone on to advise BHN Plc on a similar transaction
In 2005, we advised Oando Plc in a cross-border transaction which involved the successful secondary listing of its securities on the Johannesburg Stock Exchange (the largest stock exchange in Africa)
